These Terms of Service govern your use of the website operated by B-Down Exotics, LLC ("the Farm," "we," "us"), 8329 Red Hawk Ln, Hearne, TX 77859, United States, and the general conditions under which the Farm sells crops and enters into contracts. By accessing this website, you agree to these terms.

1. Nature of This Website

This website is provided for general informational purposes. Crop descriptions and field registers describe our production capabilities; they do not constitute an offer to sell any particular lot, quantity, or grade, and no contract of sale is formed by visiting this site or submitting an inquiry. A sale or contract is formed only upon written confirmation by the Farm.

2. Crop Sales and Contracts

2.1 Contract Sales

Production may be contracted before planting or harvest under a written agreement specifying crop, variety, quantity, grade standard, price, and delivery terms. Contracted production is subject to the force-majeure provisions described in Section 8.

2.2 Lot Sales

Harvested crops are sold by the lot with stated grade, quantity, and condition. Descriptions reflect our grading at the time of listing; buyers may inspect lots by appointment before purchase where practical.

2.3 Buyer Obligations

Buyers agree to provide accurate delivery and contact information, to pay according to stated terms, and to arrange or accept delivery as agreed. Title and risk of loss pass as stated in the sale confirmation.

3. Regulated Crops

Certain crops on our register — including hemp, cannabis, and tobacco seed — are regulated under federal or Texas law. Regulated crops are offered and sold only to buyers who hold required licenses or are otherwise legally eligible to purchase, possess, or transport them. Buyers are responsible for compliance with the laws of their own jurisdiction; the Farm's willingness to sell does not constitute a representation that a purchase is lawful for the buyer. Required documentation must be provided before contracting, and we may decline any sale we cannot lawfully complete.

4. Pricing and Payment

Prices are quoted per contract or lot and are subject to change until confirmed in writing. Payment terms — deposit, progress, or on-delivery — are stated in the sale confirmation. Late payments may accrue interest at the maximum rate permitted by law. The Farm may withhold delivery for accounts past due.

5. Grades and Warranties

Seed lots are sold with stated purity and germination information where applicable; forage with stated cut and condition; botanicals with stated moisture and form; and syrup with stated grade. Except as expressly stated in a written sale confirmation, crops are sold "as graded" without warranty of fitness for a particular purpose. Agricultural products are natural goods — reasonable variation within a grade is expected and is not a defect.

6. Intellectual Property

All content on this website — including text, graphics, layout, and design — is the property of B-Down Exotics, LLC or its licensors and is protected by copyright. You may view and print pages for personal, non-commercial use. No other reproduction or distribution is permitted without written consent.

7. Acceptable Use of This Website

You agree not to: (a) use the website for any unlawful purpose; (b) submit false or misleading purchase inquiries; (c) misrepresent licensing status for regulated crops; (d) attempt to gain unauthorized access to any systems or data; or (e) interfere with the operation of the website.

8. Force Majeure and Crop Risk

Farming is weather-dependent. The Farm is not liable for failure or delay in performance caused by drought, flood, freeze, hail, pest pressure, disease, government action, or other causes beyond its reasonable control. Where a contracted crop fails or falls short, the Farm will notify the buyer promptly and offer available remedies — substitute lots, reduced quantities, or contract release — as stated in the contract.

9. Disclaimer of Warranties

This website is provided "as is" and "as available" without warranties of any kind, express or implied. Crop descriptions reflect planned or typical production and do not guarantee availability, yield, or price of any crop in any season.

10. Limitation of Liability

To the maximum extent permitted by law, the Farm's aggregate liability arising from or related to this website shall not exceed one hundred dollars. Liability for crop sales is limited to the purchase price paid for the affected lot or contract. In no event shall the Farm be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or downstream processing losses.

11. Indemnification

You agree to indemnify and hold harmless B-Down Exotics, LLC from claims, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of this website, your misrepresentation of eligibility or licensing, or your unlawful use, transport, or resale of purchased crops.

12. Third-Party Sites

This website may contain links to third-party websites for convenience. The Farm does not endorse and is not responsible for the content, products, or practices of any third-party site.

13. Termination

Contracts terminate as provided in their terms. Obligations accrued before termination — including payment for delivered goods — survive. Provisions concerning payment, regulatory compliance, indemnification, and limitation of liability survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from these Terms or use of this website shall be resolved in the state or federal courts located in Brazos County or Robertson County, Texas, and the parties consent to their jurisdiction. Sale contracts may specify alternative dispute-resolution procedures, which shall control for disputes under them.

15. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Failure to enforce any right or provision is not a waiver of that right or provision.

16. Changes to These Terms

We may revise these Terms from time to time. The current version will be posted on this page with its effective date. Continued use of the website following a revision constitutes acceptance of the revised Terms.
